For claims not exceeding $25,000, you and JHS USA agree that disputes will be resolved through binding arbitration rather than in court, except as set forth below.

Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Location: Arbitration will take place in Princeton, New Jersey, or another mutually agreed upon location.
Costs: Each party will bear their own costs of arbitration unless otherwise awarded by the arbitrator.

Arbitrator's Decision: The arbitrator's decision will be final and binding, and may be entered as a judgment in any court

of competent jurisdiction.

Exceptions to Arbitration

The following disputes are not subject to arbitration:

  • Claims seeking injunctive or equitable relief

  • Claims related to intellectual property infringement

  • Claims within the jurisdiction of small claims court

  • Claims where arbitration is prohibited by law

Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

Litigation (For Claims Over $25,000)

For disputes exceeding $25,000 or otherwise exempt from arbitration:

Jurisdiction: Exclusive jurisdiction in the state and federal courts located in Mercer County, New Jersey

Venue: Venue for any such litigation shall be Mercer County, New Jersey

Applicable Law: New Jersey law governs these terms and any disputes

Waiver of Jury Trial: Both parties waive the right to a jury trial

Professional conduct complaints may be referred to:

  • American Institute of Certified Public Accountants (AICPA)

  • New Jersey State Board of Accountancy

  • Other applicable professional regulatory bodies

Time Limitation

You must bring any claim within one (1) year after the cause of action arises, or such claim is permanently barred.

General Provisions

Entire Agreement

Severability

If any provision is found invalid or unenforceable:

  • The remainder of the terms remain in full effect

  • Internet outages, cyber attacks, or technical infrastructure failures

  • Labor disputes, strikes or supplier failures

  • Acts of God or other unforeseeable circumstances

Relationship of Parties

No agency, partnership, joint venture, or employment relationship is created by these terms or your use of the website.
